These Terms of Service (“Terms”) govern your use of our websites, software, AI tools, automations, voice/chat agents, services, subscriptions, and any related products offered directly or indirectly by Astralis (collectively, the “Services”).
By accessing or using our Services, you (“Client,” “User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use our Services.
Astralis AI Solutions provides:
Smart website development
AI voice and chat agent deployment
CRM setup and automation workflows
SEO and Google Business Profile management
Reputation management
Branding and creative services
Subscription-based software access (powered by third-party platforms such as GoHighLevel)
Ongoing maintenance, consulting, and support
Astralis may update, modify, or discontinue any part of the Services at any time.
You must:
Be at least 18 years old
Provide accurate and complete information
Have the legal authority to bind the business you represent
Some Services require account access through Astralis or third-party platforms (e.g., GoHighLevel, OpenAI, Twilio).
You agree to:
Maintain confidentiality of login credentials
Notify us immediately of any unauthorized access
Accept full responsibility for activity under your account
Astralis is not responsible for lost or compromised credentials.
4.1 Implementation Fees
One-time onboarding, setup, or development fees are billed upfront and are non-refundable unless otherwise stated in writing.
4.2 Monthly Subscription Fees
Your ongoing monthly subscription fee begins the day your account or project is activated.
Subscriptions renew automatically every 30 days unless cancelled in accordance with Section 10.
4.3 Usage Fees (AI, SMS, Phone, Email)
You acknowledge that certain Services incur usage-based charges billed through third-party vendors such as Twilio, Mailgun, or OpenAI.
These may include:
AI message/voice usage
SMS/MMS messaging
Call minutes
Email sending
These fees are not included in your Astralis subscription and may vary.
4.4 Late Payments
Invoices not paid within 7 days of the due date may result in suspension of services until the balance is resolved.
4.5 No Refunds
Astralis maintains a strict no-refund policy on all implementation fees, subscription renewals, and usage fees unless explicitly stated in writing.
You agree to:
Provide accurate business information
Maintain any required third-party accounts (domains, hosting, phone numbers, etc.)
Approve and review website copy, branding, or automation logic
Supply login access when required
Respond in a reasonably timely manner for project completion
Astralis is not responsible for delays caused by missing approvals, missing content, or client inaction.
6.1 You Own Your Brand Assets
You retain ownership of:
Your logos
Your business information
Your uploaded content
Your provided creative materials
6.2 We Own Our Systems & Frameworks
Astralis retains all rights to:
Proprietary automations
AI agent scripts
Software configurations
Custom workflows
Internal processes
Templates & strategic frameworks
These may not be copied, resold, or used outside of your Astralis account.
Astralis uses software from third parties, including:
GoHighLevel
Twilio
OpenAI
Stripe
Mailgun
Meta
Other industry platforms
By using our Services, you agree to those third-party terms as well. Astralis is not liable for outages, rate changes, downtime, or performance issues affecting these tools.
AI-powered responses, voice calls, and automations are not guaranteed to be 100% accurate.
You agree that:
AI outputs may vary
AI responses should not be treated as legal, financial, or medical advice
You are responsible for reviewing critical AI-generated content
Astralis is not liable for decisions made based on AI outputs
Astralis does not guarantee:
Google search rankings
Lead volume
Revenue increases
Review generation
Specific conversion rates
Specific appointment volumes
These outcomes depend on many variables outside our control (competition, business practices, marketing spend, location, website content, seasonality, etc.).
10.1 Client-Initiated Cancellation
You may cancel anytime with written notice (email or ticket).
Cancellations take effect at the end of your current billing cycle.
No refunds are issued for unused time.
10.2 Astralis-Initiated Termination
We may suspend or terminate accounts for:
Nonpayment
Abusive behavior
Illegal activity
Violations of these Terms
Misuse of AI or automated systems
All unpaid balances remain due.
Project timelines depend on:
Client responsiveness
Content delivery
System requirements
Astralis is not responsible for delays caused by the client or by third-party platforms.
Both parties agree to keep confidential the business, login credentials, documentation, and trade secrets exchanged during the engagement.
To the fullest extent permitted by law:
Astralis is not liable for indirect, incidental, punitive, or consequential damages
Astralis’ total liability is limited to the amount paid by you in the last 30 days
No warranty is provided regarding outcomes, performance, or revenue growth
You agree that all services are provided “as-is” and without guaranteed results.
You agree to indemnify and hold Astralis harmless from claims, losses, or damages arising from:
Misuse of our services
Misuse of AI tools
Violations of laws or regulations
Inaccurate content supplied by you
Unauthorized access caused by your account security issues
We follow industry-standard security practices, but no system is entirely secure.
You acknowledge that:
Data transmitted electronically carries risk
Astralis is not responsible for breaches outside our reasonable control
Clients must follow proper data-security steps on their accounts
Refer to our Privacy Policy for full details.
Astralis may update features, adjust pricing, modify tools, or change third-party integrations at any time.
We will notify clients of material changes when required.

These Terms are governed by the laws of the State of New Jersey.
All disputes will be resolved through binding arbitration in New Jersey unless both parties agree otherwise.
